5. Platform Use
5.1 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:

Attempt to gain unauthorized access to any systems

5.2 Support Services
Support is provided according to your subscription tier. We will make reasonable efforts to respond to support requests within the timeframes specified for your tier, but these are not guaranteed service levels unless explicitly stated in a separate SLA.

6.1 XDRIP Property
The Platform, including all software, content, trademarks, and intellectual property, is owned by XDRIP Solutions LLC or its licensors. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

You retain ownership of any content you submit through the Platform. By submitting content, you grant XDRIP a non-exclusive license to use, store, and process such content as necessary to provide our services.
7. Fees and Payment

All fees are in US Dollars (USD) unless otherwise specified
Invoices are due within 30 days of issue
Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
All fees are exclusive of applicable taxes
7.2 Price Changes
We may modify pricing with 60 days' notice. Existing prepaid subscriptions will not be affected until renewal.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the business relationship. This obligation survives termination of these Terms.
9. Data Protection
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with applicable privacy laws including CCPA, CPA, and GDPR where applicable.
10. Warranties and Disclaimers
10.1 Service Availability
We strive to maintain Platform availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.
10.2 Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
XDRIP's total liability shall not exceed the fees paid by you in the 12 months preceding the claim
XDRIP shall not be liable for indirect, incidental, special, consequential, or punitive damages
XDRIP shall not be liable for lost profits, data loss, or business interruption
12. Indemnification
You agree to indemnify, defend, and hold harmless XDRIP Solutions LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Platform or violation of these Terms.
13. Term and Termination
13.1 Term
These Terms remain in effect while you maintain an account on the Platform.
13.2 Termination by You
You may terminate your account at any time by contacting support. Prepaid fees are generally non-refundable except as required by law.
13.3 Termination by XDRIP
We may suspend or terminate your access immediately if you violate these Terms or engage in conduct that we reasonably believe is harmful to XDRIP or other users.
13.4 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.
14. Dispute Resolution
14.1 Informal Resolution
Before filing any formal legal claim, you agree to contact us at contact@xdrip-solutions.com and attempt to resolve any dispute informally for at least 30 days.
14.2 Arbitration
Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in El Paso County, Colorado.
14.3 Class Action Waiver
YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
15. Governing Law and Jurisdiction
Jurisdiction:
These Terms shall be governed by the laws of the State of Colorado, United States, without regard to its conflict of law provisions. For any matters not subject to arbitration, any legal proceedings shall be brought exclusively in the state or federal courts located in El Paso County, Colorado.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any license agreements, constitute the entire agreement between you and XDRIP.
16.2 Severability
If any provision is found unenforceable, the remaining provisions shall continue in effect.
