Late payments may incur interest at 1.5% per month or the maximum rate permitted by law

We may modify pricing with 60 days' notice. Existing prepaid subscriptions will not be affected until renewal.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the business relationship. This obligation survives termination of these Terms.

XDRIP shall not be liable for lost profits, data loss, or business interruption
12. Indemnification
You agree to indemnify, defend, and hold harmless XDRIP Solutions LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Platform or violation of these Terms.
13. Term and Termination
13.1 Term
These Terms remain in effect while you maintain an account on the Platform.
13.2 Termination by You
You may terminate your account at any time by contacting support. Prepaid fees are generally non-refundable except as required by law.
13.3 Termination by XDRIP
We may suspend or terminate your access immediately if you violate these Terms or engage in conduct that we reasonably believe is harmful to XDRIP or other users.
13.4 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.
14. Dispute Resolution
14.1 Informal Resolution
Before filing any formal legal claim, you agree to contact us at contact@xdrip-solutions.com and attempt to resolve any dispute informally for at least 30 days.
14.2 Arbitration
Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in El Paso County, Colorado.
14.3 Class Action Waiver
YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
